1. Introduction

These Terms and Conditions govern your use of Wealth+ (the "Product"), offered by Menthum. By accessing or using Wealth+, you confirm that you have read, understood, and agreed to be legally bound by these Terms.

2. Definitions

Wealth+: An investment allocation product that provides recommendations on optimal portfolio allocation across Equity and Debt funds, along with automated portfolio rebalancing.

Menthum Grow Fund: An investment fund providing exposure to the Egyptian stock market by tracking the EGX 30 Capped Index. It represents the Equity portion of the Wealth+ portfolio.

Menthum Money Market Fund (MMF): A fund that invests in low-risk, short-term government debt instruments such as Treasury Bills. It represents the Debt portion of the Wealth+ portfolio.

Equity: Refers to investments in the Menthum Grow Fund.

Debt: Refers to investments in the Menthum Money Market Fund.

Equity/Debt Mix: The percentage distribution of a customer's Wealth+ investment between Equity and Debt — either system-recommended or user-selected.

Intended Allocation: The target Equity/Debt percentage mix selected by the user. This may be based on Menthum's recommendations or manually chosen. Wealth+ uses this as the benchmark for portfolio construction and rebalancing.

Reset Band: The maximum permitted deviation from the Intended Allocation. If the actual allocation moves outside this range during a rebalancing cycle, rebalancing is triggered.

Weekly Rebalancing: An automated process that adjusts the actual portfolio allocation to align with the Intended Allocation. Rebalancing occurs weekly on working Mondays (or the next working day if Monday is a holiday).

Liquid Assets: Cash or equivalents (e.g., balances in the Menthum Core Account) readily available for investment or withdrawal.

3. Eligibility

To use Wealth+, you must be an individual customer with an active Menthum Account and have the minimum balance to invest in Wealth+.

4. Product Features & User Control

4.1 Investment Allocation

Wealth+ provides personalized Equity and Debt allocation recommendations based on factors such as age, income, expenses, liquid assets, and risk tolerance.

You may accept or modify the suggested allocation within the system-defined limits. However, you are solely responsible for any investment decisions made on the platform.

Recommendations are non-binding and provided as guidance.

You retain full discretion and responsibility for accepting, modifying, or rejecting these recommendations. Menthum shall not be held liable for any losses, missed gains, or other outcomes resulting from your investment decisions — whether they align with or differ from the recommendations provided. Menthum does not act as a fiduciary and does not guarantee the success, preservation, or return of any investment. Market fluctuations and other external risks may affect portfolio performance.

By using Wealth+, you acknowledge the inherent risks associated with investing and that past performance does not guarantee future results.

4.2 Portfolio Rebalancing

Wealth+ performs Weekly Rebalancing to maintain alignment with your Intended Allocation — only if the actual allocation deviates beyond the Reset Band.

Example: If your intended Equity/Debt mix is 70/30 with a 2% Reset Band, and market changes shift it to 76/24, Wealth+ will sell Equity and buy Debt to restore the 70/30 mix.

4.3 User Input Risk

Recommendations depend on the data you provide. Inaccurate or outdated financial or personal information may result in suboptimal guidance. You are responsible for ensuring the accuracy of the information you submit.

5. Deposits & Withdrawals

5.1 Deposits

You may deposit funds into Wealth+ at any time from approved sources.

Clearing Times:

• Deposits made before 12:00 PM on a business day will be reflected by 12:00 PM the next business day.
• Deposits made after 12:00 PM will be reflected by 12:00 PM on the second business day thereafter.

5.2 Withdrawals

Withdrawals from Wealth+ can be made to permitted destinations.

Clearing Times:

• Withdrawals made before 12:00 PM on a business day will be processed by 12:00 PM the next business day.
• Withdrawals made after 12:00 PM may take up to two business days to process.

5.3 Minimum Ongoing Balance

A Minimum Balance, displayed in the app, is required to continue using Wealth+.

• Withdrawals that would reduce your balance below the Minimum Balance are not allowed.
• If you attempt such a withdrawal, Menthum will reject the transaction.
• You may either reduce the withdrawal amount or initiate a full withdrawal and close your Wealth+ account.

6. Fees and Charges

Menthum levies multiple types of fee to use Wealth+. These are displayed on the App and are automatically deducted from your Wealth+ balance.

7. Regulatory Compliance and Disclaimers

7.1 Menthum's Role

Menthum:

• Does not act as a personal financial advisor.
• Does not guarantee the performance of any investment instrument.
• May update or modify the Wealth+ algorithm or rules to enhance potential portfolio outcomes.

7.2 No Investment Advisory Relationship

Unless explicitly stated, Menthum does not provide licensed investment advice or financial planning services.

Wealth+ offers automated, algorithm-based recommendations based on your inputs. These are non-binding general suggestions and do not constitute personalized financial, legal, or tax advice.

You are encouraged to seek independent professional advice before making investment decisions.

8. Termination and Suspension

You may terminate your use of Wealth+ at any time by withdrawing your full balance.

Menthum may suspend or terminate your access for reasons including (but not limited to):

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Compliance with legal or regulatory requirements

9. Acceptance of Terms / User Acknowledgment

9.1 Binding Agreement

By using Wealth+, you agree to be legally bound by these Terms and Conditions, including all policies, disclosures, and any future amendments.

9.2 Digital Consent

Menthum may update these Terms or change Wealth+ features. Continued use constitutes acceptance of any such changes.

The Terms & Conditions governing Menthum Services, Menthum Money Market Fund and Menthum Grow Fund are in addition to Wealth+ Terms & Conditions. You must accept them along with these Terms & Conditions to use Wealth+.
